How to Buy Commercial Property in Delhi NCR: A Practical Guide

How to Buy Commercial Property in Delhi NCR: A Practical Guide
Contents

Buying a shop or office is not the same as buying a flat. The tax rules differ, loans are costlier, and the sales pitch is often about returns rather than the property itself. This guide explains what to check before you buy commercial property in Delhi NCR, with a focus on Noida, Greater Noida and Gurugram. Delhi, Ghaziabad and Faridabad have their own state or UT rules, and this guide does not cover them.

Last reviewed: 20 October 2026. Rates and rules change, so treat the figures below as a starting point. Confirm them with your lawyer, chartered accountant and the sub-registrar’s office before you sign.

Start with how you will use the space

Decide first whether you will run a business from the unit or rent it out.

  • Owner-user: You care about footfall, parking, access and monthly maintenance. GST registration and input tax credit matter more to you.
  • Investor: You care about who the tenant will be, the rent, and how long the lease runs. Vacancy and resale risk are yours to carry.

This choice also changes your paperwork, your tax position and the kind of loan you should look for.

Due diligence checklist

Before you pay any booking amount, ask for these documents and read them yourself:

  1. RERA registration number, checked on the state RERA portal (UP RERA for Noida and Greater Noida, Haryana RERA for Gurugram).
  2. Sanctioned layout plans and the commencement certificate, plus the draft sale agreement and the builder’s past project record.
  3. Completion or occupancy certificate for a ready unit. It also decides whether GST applies (see below).
  4. Land and title papers. Ask for the allotment or lease documents and check for loans or mortgages on the land. For leasehold plots, ask which authority charges apply before you fix your budget.
  5. Super area versus carpet area. Get both in writing and compare them with the sanctioned plan.
  6. Maintenance, parking and common-area terms. Commercial complexes often have separate rules for signage, operating hours and parking.

Then visit the site at different times of day. For a shop, count the people who actually walk past. For an office, check lifts, power backup and how easy it is to reach.

RERA and commercial projects

RERA covers commercial projects as well as housing. Registration is required when a project is on land of more than 500 sq m or has more than eight units, and it must be done before the project is advertised, booked or sold. Offices, shops and showrooms count.

Three practical points:

  • Thresholds are read broadly. Delhi RERA has said that crossing either the area limit or the unit limit makes registration mandatory. A small building that stays below both limits, such as a single shop or office, is not covered. Resale of a completed unit generally falls outside RERA as well. In those cases, do stronger title checks.
  • Do not pay an unregistered project. If a project is above the thresholds and has no registration number, walk away.
  • Registration is not a guarantee. It gives you a regulator to approach and a public record of approvals and timelines. It does not promise footfall, tenants or resale value.

Stamp duty and registration

Stamp duty is a state subject, so Uttar Pradesh and Haryana charge differently. Both charge on the higher of the circle (collector) rate or the deal value.

Location Stamp duty (men / women / joint) Registration fee
Noida and Greater Noida (UP) 7% / 6% / 6.5% 1%
Gurugram (Haryana, urban) 7% / 5% / 6% About 1%; several sources say it is capped at ₹50,000

Worked example: a ₹1 crore ready shop bought by a man (assuming the deal value is higher than the circle value):

Item Noida Gurugram
Stamp duty (7%) ₹7,00,000 ₹7,00,000
Registration fee ₹1,00,000 (1%) ₹50,000 (if the cap applies)
Total ₹8,00,000 ₹7,50,000

If the circle value were ₹1.2 crore, you would pay on ₹1.2 crore instead. In Noida that is ₹8.4 lakh in duty plus ₹1.2 lakh in registration.

Cautions before you rely on these numbers:

  • Most published rates are written for property in general. We could not find an official notification giving separate commercial rates. One calculator site lists 8% duty and 1.5% registration for commercial property in Haryana, but we could not confirm that from an official source. Ask the sub-registrar for the exact commercial rate.
  • The woman-buyer concession needs checking. One source says UP raised the limit for the 6% rate from ₹10 lakh to ₹1 crore in July 2025, with a maximum saving of ₹1 lakh. An older builder blog describes only a ₹10,000 rebate. Confirm the current position for commercial units.
  • Circle rates are moving. One source reports that Gurugram’s collector rates were revised from 1 April 2026, with hikes of up to 75% in select areas. Check the rate for your exact sector or project, not a city average.
  • Timing may differ for new units. A builder blog reports that Greater Noida now asks for stamp duty at booking for new flats, once 10% is paid and a registered agreement is signed. Ask whether the same applies to commercial units.

If you plan to rent the unit out, lease stamp duty is a separate cost. In UP, a lease of up to one year attracts a flat ₹200, while longer leases are charged on the annual rent and term. One source puts Haryana’s rate at 1.5% of average annual rent for leases of one to five years, and registration becomes mandatory from one year. Confirm this before you draft the lease.

GST on commercial property

Whether GST applies depends on the stage of the project when you pay.

Situation GST Notes
Ready unit, completion certificate issued Generally nil Stamp duty still applies
Under-construction commercial unit (general case) 12% with input credit Some guides describe 18% on about 67% of the price, which works out to about 12.06% overall
Commercial apartment in a residential real estate project 5% without input credit (as reported by one source) Ask the developer which category applies
Rent on a commercial unit 18% Applies once the landlord crosses the registration threshold

Under-construction GST generally applies to payments made before the completion certificate or first occupation, whichever is earlier. The 1% and 5% rates you hear about are for residential flats, without input credit. They do not apply to a shop or office.

Worked example: an ₹80 lakh under-construction office. On the 18%-on-67% method, GST is charged on ₹53.6 lakh, which comes to about ₹9.65 lakh. That is roughly 12.06% of the full price. If you are GST-registered and use the office for taxable business, you may be able to claim this as input credit. Your chartered accountant should confirm whether you can.

Always get the developer’s GST breakup in writing. Different guides describe the rate in different ways, so do not accept a verbal figure.

GST on rent

Commercial rent attracts 18% GST. A landlord must register once total annual turnover, including all rent under the same PAN, crosses ₹20 lakh. Since 10 October 2024, if the landlord is unregistered and the tenant is GST-registered, the tenant pays the 18% directly under reverse charge. On ₹60,000 monthly rent, that is ₹10,800 a month. A registered tenant using the space for taxable business can generally claim input credit. Check how this affects the rent you can realistically quote.

Loans for commercial property

Commercial loans are costlier than home loans and usually need a bigger down payment.

  • Interest rates: Published ranges differ. One bank-wise comparison from June 2026 puts commercial property loans at about 9.15% to 14%. Another lender page gives a wider 8% to 14% band. One finance site lists HDFC’s loan against commercial property at 9.25% to 10.25% for July 2026. Rates vary by lender, borrower and property, so get a written quote.
  • Loan-to-value: Lenders commonly finance 50% to 75% of the property value, depending on the lender, property and your profile.
  • Tenure: Sources conflict. One lists SBI’s commercial property loan at up to 72 months, while others quote 15 to 20 years for various lenders. Compare the exact product you are offered.
  • Fees: Budget for processing, valuation and legal charges. Processing fees quoted by lenders range from roughly 0.5% to 1.5%.
  • Prepayment: RBI’s rules from 1 January 2026 bar prepayment charges on floating-rate loans sanctioned or renewed on or after that date. This covers loans to individuals and to micro and small enterprises. Some lender types, such as small finance banks, are exempt for loans above ₹50 lakh. Fixed-rate loans can still carry charges, and a company that is not a micro or small enterprise may not be covered. Check your sanction letter.

Worked example: a ₹1 crore office in Noida with a 60% loan.

Item Amount
Loan (60%) ₹60,00,000
Down payment (40%) ₹40,00,000
Stamp duty and registration (man, Noida) ₹8,00,000
Cash needed before legal, loan and other fees About ₹48,00,000
Illustrative EMI at 10% for 15 years About ₹64,500 a month

The 10% rate is an assumption for the calculation, not a quote. The loan would also add processing and valuation fees.

Lenders check a project’s approvals, so incomplete paperwork can slow or block a loan. Ask for in-principle approval before you pay a large booking amount.

Lease-based and assured-return schemes

Many commercial launches are marketed with a fixed monthly payout, a promised rent or a lease arrangement. Understand what you are actually being offered.

  • A genuine lease means a tenant pays rent under a written, registered agreement. You can check the tenant’s business, rent, lock-in period and deposit. If the tenant leaves, you carry the vacancy risk.
  • An assured return is a promise from the developer to pay you regularly, often until possession or for a fixed period. It is only as good as the developer’s cash flow and the paperwork behind it.

The legal position is contested. Some builders stopped paying assured returns and cited the Banning of Unregulated Deposit Schemes Act, 2019. In a July 2024 case involving a Gurugram project, Haryana RERA held that such payments were not barred by that Act and ordered the builder to pay the buyer within 90 days. An earlier HRERA order against another developer went the same way. That does not mean your case will end the same way, and recovering money can take years.

Watch for these warning signs:

  • Returns pitched far above what nearby properties actually rent for.
  • Pressure to decide today, or paperwork that names a payout but not a specific unit.
  • A developer whose earlier assured-return projects have quietly stopped paying. A few calls to existing investors will tell you.

Also ask whether the payout is built into the price. A scheme can look generous when you are in effect paying for it through a higher unit cost. Get any promise inside the registered agreement, not in a brochure, WhatsApp message or side letter.

Where to look

Commercial demand clusters around a few corridors. Start with the Noida Expressway guide for office and retail pockets, the Greater Noida guide for newer areas, or the Gurugram guide for Haryana. You can also compare listings by city and builder on the ADiHomes projects page. Whichever area you choose, verify each project yourself.

Final checklist before you sign

  1. Confirm RERA registration and approvals on the official state portal.
  2. Ask whether GST applies, and get the breakup in writing.
  3. Calculate stamp duty on the higher of circle rate or deal value, and confirm the commercial rate with the sub-registrar.
  4. Get any rental or return promise inside the registered agreement.
  5. Have a lawyer check the title, the agreement and the maintenance terms.
  6. Get written loan terms before you pay a large booking amount.

None of this guarantees a good outcome. Commercial property carries vacancy, resale and tenant risk, and a careful check of the documents is the best protection you have.

Frequently asked questions

Is RERA applicable to commercial property in Delhi NCR?

Yes. Commercial projects such as shopping complexes and office buildings must register with the state RERA if the land exceeds 500 sq m or the project has more than eight units. A stand-alone shop or office in a small building below both limits is not covered.

What is the stamp duty on commercial property in Noida and Gurugram?

Widely published rates are 7% for men and 6% for women in Noida and Greater Noida (6.5% for joint male-female ownership), plus 1% registration. In urban Gurugram they are 7% for men, 5% for women and 6% joint. Official commercial-specific rates were not confirmed, so check with the sub-registrar.

Is GST charged when buying a ready commercial property?

Generally no. GST does not apply if the full payment is received after the completion certificate or first occupation, but stamp duty still applies. Under-construction commercial units are generally taxed at 12% with input credit, though some commercial units in residential projects are described at 5% without credit.

Can I get a loan to buy a shop or office?

Yes. Banks and NBFCs offer commercial property loans, usually at higher rates than home loans, with published ranges of roughly 8% to 14%. Lenders typically fund about 50% to 75% of the value, so you need a larger down payment.

Are assured return schemes in commercial projects safe?

They carry risk, because the payout depends on the developer's finances and the written agreement. Haryana RERA has ordered builders to pay agreed assured returns in some cases, but the legal position has been contested. Make sure any promise is inside the registered agreement.

Do I have to pay GST on rent from a commercial property?

Commercial rent attracts 18% GST. A landlord must register once annual turnover crosses ₹20 lakh. Since 10 October 2024, a GST-registered tenant renting from an unregistered landlord pays the tax under reverse charge.

Can I prepay a commercial property loan without a penalty?

Under RBI rules effective 1 January 2026, lenders cannot charge prepayment fees on floating-rate loans sanctioned or renewed on or after that date to individuals and to micro and small enterprises. Some lender types are exempt for larger loans and fixed-rate loans may still carry charges, so check your sanction letter.
