UP RERA: builders must offer possession within two months of completion certificate

Contents
The direction
On 29 July 2026 UP RERA issued directions on how and when promoters in Uttar Pradesh – including Noida, Greater Noida and the Yamuna Expressway – must hand over possession after a project is completed.
- A written Offer of Possession must be issued within two months of receiving the completion certificate (CC) or occupancy certificate (OC).
- The offer must go to the allottee’s registered email and by post.
- Letters titled “Final Demand Notice” or with similar wording will not count as an offer of possession. The letter must clearly say “Offer of Possession” and invite the buyer to take physical possession.
- Promoters must display copies of the OC/CC at their customer relationship offices.
- Partial certificates must specify the exact towers, blocks or phases covered. Temporary or provisional certificates for limited periods are not allowed.
- Conveyance deeds should be executed within the time set by the Act and rules after the OC/CC.
Why this matters
In many Noida and Greater Noida societies, buyers have received demand letters asking for final payments, maintenance deposits and stamp duty without a proper offer of possession or clarity on which towers an OC covers. Some developers have used such letters to claim that possession was “offered” and stop delay interest. The direction makes it harder to blur that line.
The order also places a duty on buyers: once a valid offer is made, the allottee is expected to take possession and complete the conveyance deed within the time allowed. Delay interest generally stops once a valid offer is made.
What buyers should do
- Ask for a copy of the OC/CC and check that it names your tower.
- Do not treat a demand notice as an offer of possession; if you get one without an offer, raise it with the developer in writing.
- Inspect the unit and common services before paying the final instalment, and record defects.
- Track the two-month window from the OC date; if no valid offer arrives, you can raise a complaint with UP RERA.
The direction also notes that deemed OC/CC provisions apply in Noida, Greater Noida and YEIDA areas where the framework permits them, which matters for projects where the authority has not acted on an application within the prescribed time.
